The Series A and Series C common stock are not exchangeable at any time by the holder of such stock.
The Spin-Off was structured to qualify as a tax-free transaction under Section 355 of the Internal Revenue Code of 1986, as amended (except with respect to the receipt of cash in lieu of fractional shares of our common stock). It is expected that, for U.S. federal income tax purposes, (i) no gain or loss will be recognized by Liberty as a result of the distribution of our common stock in the Spin-Off, and (ii) no gain or loss will be recognized by, and no amount will be included in the income of, holders of Liberty Ventures common stock as a result of the receipt of shares of our common stock in the Spin-Off (except with respect to the receipt of cash in lieu of fractional shares of our common stock).
